These Terms of Use (the "Terms") govern access to and use of the website located at eliteconsultation.ca and any subdomains (collectively, the "Website"), operated by Elite Consultation Services Inc. ("Elite Consultation," "we," "us," or "our"). By accessing or using the Website, you agree to be bound by these Terms. If you do not agree, do not use the Website.
1. Acceptance and scope
These Terms form a binding agreement between you and Elite Consultation Services Inc., a Quebec corporation with its principal place of business at 2215 Halpern Street, Montreal, Quebec H4S 1S3, Canada.
These Terms apply only to use of the Website. They do not govern our consulting, training, or speaking engagements, which are subject to a separate written service contract (the "Service Agreement") executed between Elite Consultation and the client. In the event of any conflict between these Terms and a Service Agreement, the Service Agreement prevails with respect to the services covered by it.
You should read these Terms together with our Privacy Policy, which is incorporated by reference. Our Privacy Policy explains how we collect, use, and protect personal information.
2. Definitions
"Content" means all text, graphics, images, icons, logos, audio, video, software, data compilations, written materials, and other content made available through the Website.
"User," "you," and "your" refer to any person who accesses, browses, or otherwise uses the Website.
"User Submission" means any information, data, or content you submit to us through the Website, including through the contact form and booking tools.
"Applicable Law" means all laws, regulations, and legal requirements that apply to a party, including the Civil Code of Québec, the Act respecting the protection of personal information in the private sector (Law 25), the Personal Information Protection and Electronic Documents Act (PIPEDA), the Charter of the French Language, and Canada’s Anti-Spam Legislation (CASL).

The Website is intended for use by individuals aged 14 and over who have the legal capacity to enter into binding agreements. By using the Website, you represent that you meet these requirements.
The Website is intended primarily for businesses, professionals, and organizations interested in consulting, training, or speaking engagements. It is not directed at children.
4. Permitted use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Website for lawful purposes consistent with its intended function, including:

- Use the Website in a manner that violates any Applicable Law or these Terms.
- Copy, reproduce, republish, transmit, sell, license, or otherwise exploit Content without our prior written authorization, except as expressly permitted in Section 7.
- Use automated systems (bots, scrapers, spiders, harvesters) to access, collect, or extract data from the Website, except for legitimate indexing by public search engines respecting our robots.txt directives.
- Attempt to gain unauthorized access to any portion of the Website, to other users’ accounts, or to any systems, servers, or networks connected to the Website.
- Introduce viruses, malware, trojan horses, or other malicious code.
- Interfere with or disrupt the Website or the servers or networks connected to it.
- Reverse-engineer, decompile, or disassemble any portion of the Website.
- Use the Website to impersonate any person or entity or to misrepresent your affiliation with any person or entity.
- Use the Website to send unsolicited commercial communications in violation of CASL or other applicable anti-spam legislation.
- Use the Website for any purpose that is defamatory, abusive, harassing, threatening, obscene, or otherwise objectionable.
- Frame, mirror, or present the Website or any portion of it in a manner that dilutes our brand or creates a false impression of endorsement or partnership.
6. User Submissions
When you submit information to us through the Website (for example, through the contact form or booking tool), you represent and warrant that: (a) you have the right to provide that information; (b) the information is accurate; (c) the information does not violate any third party’s rights; and (d) you have obtained any necessary consents from other individuals whose personal information you include.
You retain ownership of your User Submissions. By submitting information, you grant Elite Consultation a non-exclusive, worldwide, royalty-free licence to use that information solely to respond to your inquiry, schedule meetings, and provide services you request.
We handle personal information contained in User Submissions in accordance with our Privacy Policy. We will not sell User Submissions to third parties, and we will not use them for purposes unrelated to the reason you submitted them without your consent.
7. Intellectual property
The Website and its Content are owned by Elite Consultation Services Inc. or its licensors and are protected by copyright, trademark, and other Applicable Law, including under the Copyright Act (Canada) and international treaties. All rights not expressly granted in these Terms are reserved.
You may temporarily display, print, or download excerpts of Content from the Website for personal, non-commercial reference purposes only, provided that you do not modify the Content, you retain all copyright and proprietary notices, and you do not reproduce the Content publicly or in any medium.
Any other use of the Content, including reproduction, distribution, public display, creation of derivative works, or commercial exploitation, requires our prior written consent.
"Elite Consultation," the Elite Consultation logo and mark, and any related graphics, logos, service marks, and trade names are trademarks of Elite Consultation Services Inc. They may not be used in connection with any product or service without our prior written consent. All other trademarks, service marks, and logos appearing on the Website are the property of their respective owners.
8. Third-party links and services
The Website may contain links to third-party websites, services, and resources (for example, Cal.com for booking, HubSpot for CRM, LinkedIn, and other platforms). These links are provided for convenience only.
We do not control and are not responsible for third-party websites or services. The inclusion of a link does not constitute endorsement. Your use of third-party websites and services is subject to the terms and privacy policies of those third parties. We encourage you to review them.
9. Cookies and analytics
The Website uses cookies and similar technologies as described in our Privacy Policy. Strictly necessary cookies operate without consent; analytics and marketing cookies are set only after you grant consent through the cookie banner. You may change your preferences at any time through the "Cookie preferences" link in the footer.
10. Availability and changes to the Website
We make reasonable efforts to keep the Website available and operating, but we do not guarantee uninterrupted access. We may suspend, modify, or discontinue any part of the Website at any time, with or without notice, for reasons including maintenance, updates, or changes to our business.
We may update, change, add to, or remove Content at our discretion. We are not obligated to update outdated Content.

Nothing in this section excludes or limits any warranty, condition, or liability that cannot be excluded or limited under Applicable Law, including in Quebec under articles 1474 and 1732 of the Civil Code of Québec.
12. Limitation of liability
To the fullest extent permitted by Applicable Law, in no event will Elite Consultation, its affiliates, directors, officers, employees, agents, or licensors be liable to you or any third party for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, revenue, data, goodwill, business opportunities, or anticipated savings, arising out of or in connection with your use of or inability to use the Website, even if we have been advised of the possibility of such damages.
To the fullest extent permitted by Applicable Law, our total aggregate liability to you for all claims arising out of or in connection with these Terms or your use of the Website, whether in contract, tort (including negligence), statute, or otherwise, will not exceed one hundred Canadian dollars (CAD $100).
Nothing in this section limits or excludes liability that cannot be limited or excluded under Applicable Law, including liability for gross or intentional fault or for bodily or moral injury under article 1474 of the Civil Code of Québec, or liability under applicable consumer protection legislation where it applies.
13. Indemnification
You agree to defend, indemnify, and hold harmless Elite Consultation, its affiliates, directors, officers, employees, and agents from and against any third-party claims, demands, suits, proceedings, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms; (b) your misuse of the Website; (c) your violation of any Applicable Law or third-party right; or (d) any User Submission you provide.
14. Privacy
Your use of the Website is also governed by our Privacy Policy, which describes how we collect, use, disclose, and protect personal information. Please review it carefully.
15. Changes to these Terms
We may update these Terms from time to time to reflect changes to our Website, legal requirements, or business practices. When we do, we will update the "Last updated" date at the top of this page and publish the revised Terms on the Website.
Material changes will be brought to your attention by a notice on the home page for at least two weeks before the change takes effect. Your continued use of the Website after a change takes effect constitutes acceptance of the revised Terms.
16. Suspension and termination
We may suspend or terminate your access to the Website at any time, without notice, if we reasonably believe you have violated these Terms, infringed another party’s rights, or engaged in conduct that may expose us or other users to harm.
Sections 5 through 13, 16, 17, and 19 survive any termination.
17. Governing law and jurisdiction
These Terms and any dispute arising out of or in connection with them or your use of the Website are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.
The parties expressly exclude the application of the United Nations Convention on Contracts for the International Sale of Goods.
Subject to Section 18, you and Elite Consultation irrevocably submit to the exclusive jurisdiction of the courts of the Province of Quebec, judicial district of Montreal, for the resolution of any dispute arising out of or in connection with these Terms or your use of the Website.
If you access the Website from outside Quebec or Canada, you do so on your own initiative and are responsible for compliance with local laws.
18. Dispute resolution
Before initiating any formal proceedings, the parties agree to attempt in good faith to resolve any dispute through direct negotiation. You may send a written notice describing the dispute to info@eliteconsultation.ca, and we will respond within thirty (30) days. If the dispute cannot be resolved within sixty (60) days of that notice, either party may pursue available legal remedies in accordance with Section 17.
Nothing in this section prevents either party from seeking injunctive or equitable relief at any time to protect intellectual property rights or confidential information.
19. Language
These Terms are published in English and French. Both versions have equal legal value. In the event of any discrepancy, the French version prevails as required by the Charter of the French Language where it applies. You may view the French version at eliteconsultation.ca/fr/conditions.
Les parties ont expressément demandé que les présentes conditions ainsi que tous les documents qui s’y rapportent soient rédigés en français et en anglais. The parties have expressly requested that these Terms and all related documents be drafted in French and English.
20. Severability and construction
If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be construed, limited, or, if necessary, severed to the minimum extent required to make it valid and enforceable, and the remaining provisions will continue in full force and effect.
The headings in these Terms are for convenience only and do not affect interpretation. The words "including," "such as," and similar expressions are illustrative, not limiting.
21. Entire agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Elite Consultation regarding your use of the Website and supersede any prior or contemporaneous communications, understandings, or agreements relating to that use, whether oral or written.
For consulting, training, or speaking engagements, additional terms set out in a Service Agreement govern that engagement and prevail over these Terms to the extent of any conflict.
22. Assignment
You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. We may assign these Terms and our rights and obligations under them in connection with a corporate reorganization, merger, sale of assets, or similar transaction.
23. No waiver
Our failure to enforce any provision of these Terms does not waive that provision or our right to enforce it later.
